Terms of Service

Effective date: 22 March 2025

These Terms govern access to and use of the Zoli website, applications, and related services at https://zoli.uk (the "Service"). The Service is operated by Zoli ("we", "us", "Zoli"). By creating an account, subscribing, or using the Service, you agree to these Terms and our Privacy Policy.

1. The Service

Zoli provides online educational content (including lessons, learning paths, and related materials) intended to help you learn about side projects and related topics. The Service is informational and educational only. It is not financial, legal, tax, employment, or professional advice. We do not guarantee any particular outcome, income, or business results.

2. Eligibility and accounts

You must be at least 18 (or the age of majority where you live) to use the Service. You agree to provide accurate account information and to keep your login credentials confidential. You are responsible for activity under your account. Notify us promptly at admin@guemw.com if you suspect unauthorized access.

3. Licence to content

Subject to your compliance with these Terms and an active subscription where required, we grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the content for your own learning during your subscription. You may not: copy, scrape, redistribute, publicly perform, sell, sublicense, or create derivative works from our content except as allowed by applicable law; share account access in a way that circumvents subscription requirements; or use the Service to build a competing product or training library.

4. Subscriptions and billing

Paid access is offered on a subscription basis. Fees, billing cycles, renewal, cancellation, and plan changes are described in our Subscription Policy (incorporated by reference). Payments are processed by Stripe (or another processor we designate). You authorise us and our payment processor to charge your payment method for applicable fees and taxes.

5. Free trials and promotions

If we offer a free trial or promotion, its duration, eligibility, and conversion to paid will be stated at signup or checkout. Unless we say otherwise, cancel before the trial ends to avoid being charged.

6. Acceptable use

You agree not to:

  • violate any law or infringe others' rights;
  • harass, abuse, or harm others;
  • attempt to probe, scan, or test the vulnerability of the Service;
  • interfere with or disrupt the Service or its infrastructure;
  • reverse engineer or bypass access controls; or
  • use automated means to access the Service in bulk without our written consent.

7. Intellectual property

The Service, including all content, branding, software, and design, is owned by Zoli or our licensors and is protected by intellectual property laws. Except for the limited licence in section 3, no rights are granted to you.

8. Third-party services

The Service may link to or integrate third-party services (for example payment, hosting, or analytics). Their use is subject to their terms and privacy policies. We are not responsible for third-party services.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOLI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED POUNDS (£100) IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM PERMITTED BY LAW.

11. Indemnity

You will defend, indemnify, and hold harmless Zoli and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content or conduct, or your breach of these Terms, except to the extent caused by our gross negligence or wilful misconduct.

12. Refunds

Refunds are described in our Refund Policy, which forms part of these Terms.

13. Suspension and termination

We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or if we discontinue the Service (with reasonable notice where practicable). You may stop using the Service at any time. Cancellation of your subscription is handled as described in the Subscription Policy. Provisions that by their nature should survive (including licence restrictions, disclaimers, liability limits, and governing law) survive termination.

14. Changes

We may modify these Terms by posting an updated version and updating the effective date. If a change is material, we will provide reasonable notice (for example by email or in-app). Your continued use after the effective date of changes constitutes acceptance. If you do not agree, cancel your subscription and stop using the Service.

15. Governing law and disputes

These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer protection laws require otherwise. If you are a consumer in the EEA or UK, you may also have mandatory rights in your country of residence.

16. Miscellaneous

If any provision is unenforceable, the remainder remains in effect. These Terms, together with the Subscription Policy, Refund Policy, and Privacy Policy, are the entire agreement regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
